REPRESENTATIONS AND WARRANTIES OF CITADEL. In connection with the purchase and sale of the Shares and in order to induce the Stockholder to enter into and consummate the transactions contemplated by this Agreement, Citadel makes the following representations and warranties to the Stockholder as of the date of this Agreement and as of the Closing Date (except for representations and warranties expressly and specifically relating to a time or times other than the date hereof or thereof, which shall be made as of the specified time or times):

In connection with the purchase and sale of the Shares Purchased Assets under this Agreement and in order to induce the Stockholder Sellers to enter into and consummate the transactions contemplated by this Agreement, Citadel makes the following representations and warranties to the Stockholder Sellers, as of the date of this Agreement and as of the date of the Closing Date (except for representations and warranties expressly and specifically relating to a time or times other than the date hereof or thereof, which shall be made as of the specified time or times):
