Representations and Warranties of Athenen. Except as disclosed by Athenen in any section of the disclosure schedule dated as of the date of this Agreement and delivered by Athenen to Eliem simultaneously herewith (the “Athenen Disclosure Schedule”) Athenen makes the following representations and warranties to Eliem as follows.
