REPRESENTATIONS AND WARRANTIES OF ARCHSTONE AND NEW ARCHSTONE. Except as specifically set forth in the Archstone SEC Documents (as defined herein) or in the schedule delivered to Xxxxx prior to the execution hereof and identified by any of the Chairman and Chief Executive Officer, Chief Financial Officer or a Senior Vice President of Archstone as the disclosure letter to this Agreement (the "Archstone Disclosure Letter"), Archstone and New Archstone represent and warrant to Xxxxx and Xxxxx Partnership as follows:
