REPRESENTATIONS AND COVENANTS RELATING TO TAX. FREE ORGANIZATION The COMPANY, the STOCKHOLDERS, the Other Founding Companies and the stockholders of the Other Founding Companies have requested that Xxxxxx, Xxxxx & Xxxxxxx LLP provide an opinion as to the qualification under section 351 of the Code of the Merger, the mergers involving the Other Founding Companies and the IPO (collectively referred to herein as the "Proposed Transaction"). The parties to this Agreement hereby make the following representations and warranties and acknowledge that such representations and warranties are for the benefit of and will be relied upon by Xxxxxx, Xxxxx & Bockius LLP for purposes of such opinion.
