Common use of Representations and Agreements to Survive Clause in Contracts

Representations and Agreements to Survive. The respective indemnities, agreements, representations, warranties, covenants or other statements of the Company as set forth in or made pursuant to this Agreement and the indemnity and contribution agreements of the Compay and the Underwriter contined in Sections 7 and 8, respectively, shall survive and remain in full force and effect regardless of any (i) investigation made by or on behalf of any party or any of its directors, officers, or controlling persons; (ii) delivery of and payment for the Debentures; (iii) the Final Closing Date; and (iv) any successor of the Company and the Underwriter or any controlling person, officer or director thereof, as the case may be, shall be entitled to the benefits thereof.
