Representations and Agreements to Survive. The respective covenants, agreements, representations and warranties of the Company and the Selling Agent hereunder, as set forth in, or made pursuant to this Agreement, shall remain in full force and effect regardless of any investigation made by or on behalf of any such party or any of its directors or officers or any controlling person, and shall survive delivery of and payment for the Securities. The obligation to pay the compensation and expense reimbursement provided for in Section 8, the expense payment provisions contained in Section 4(d), the indemnification and contribution agreements contained in Section 9 and this Section 11 shall also survive any termination of this Agreement.
