Representation of Member. Member represents that it has received a copy of SAC's Articles of Incorporation and Bylaws and agrees to abide by and be bound by them as well as by any amendments thereto. In the event of a conflict between the Articles of Incorporation or Bylaws and the terms of this Agreement, the provisions of the Articles of Incorporation or Bylaws shall govern.
Representation of Member. Member represents and warrants to OSI that he has the power and authority to enter into this Agreement, in his individual capacity, as an authorized representative of Borrower, and as an authorized representative of the general partner of each Franchisee.
