Common use of Reporting Under the Exchange Act Clause in Contracts

Reporting Under the Exchange Act. The Company agrees to take no action designed to, or with the effect of, causing the Company to cease to be subject to the reporting requirements of the Exchange Act for so long as a registration statement under this Agreement is required to be filed or caused to be effective, or shall be required to be or remain effective.

Reporting Under the Exchange Act. The Company agrees to take no action designed to, or with the effect of, causing the Company to cease to be subject to the reporting requirements of the Exchange Act for so long as a registration statement under this Agreement Schedule I is required to be filed or caused to be effective, or shall be required to be or remain effective; provided, however, that the Company may cease to be subject to the reporting requirements of the Exchange Act in the event that it is merged with, or acquired by, an entity that is not subject to such reporting requirements where the Company is not the surviving entity.
