Replacement Goodwill Clause Samples

The Replacement Goodwill clause defines how the value of goodwill is handled when a business or its assets are replaced or transferred. Typically, this clause outlines the process for calculating and allocating goodwill associated with the original business, and how it should be treated if a new entity or asset takes its place. For example, it may specify whether the new owner inherits the existing goodwill or if a new valuation is required. The core function of this clause is to ensure clarity and fairness in the treatment of intangible business value during transitions, preventing disputes over the ownership or value of goodwill.
