REMUNERATION FOR DIRECTORS. The Independent Directors shall be compensated by the Company as determined by the vote of holders of at least sixty six and two-thirds percent (66-2/3%) of the Shares outstanding at a properly constituted general meeting. The Company shall also bear, or reimburse, the costs and expenses of all Directors, including travel expenses, reasonably incurred in attending each Board meeting. The Company shall indemnify the Directors and hold them harmless against any claims, losses or liabilities of any kind whatsoever in connection with the performance of their duties as Directors, except in the case of fraud or dishonesty. No later than the Effective Date, the Company shall obtain and cause to be maintained in effect, with financially sound insurers, a policy of directors' and officers' liability insurance covering each Director upon such terms as shall be consistent with U.S. market standards.
