Common use of REMIC-Related Covenants Clause in Contracts

REMIC-Related Covenants. For as long as each REMIC shall exist, the Trustee and the Securities Administrator shall act in accordance herewith to treat such REMIC as a REMIC, and the Trustee and the Securities Administrator shall comply with any directions of the Sponsor, the Servicer or the Master Servicer to assure such continuing treatment. In particular, the Trustee shall not (a) sell or permit the sale of all or any portion of the Mortgage Loans or of any investment of deposits in an Account unless such sale is as a result of a repurchase of the Mortgage Loans pursuant to this Agreement or the Trustee has received a REMIC Opinion prepared at the expense of the Trust Fund; and (b) other than with respect to a substitution pursuant to the Mortgage Loan Purchase Agreement or Section 2.03 of this Agreement, as applicable, accept any contribution to any REMIC after the Startup Day without receipt of an Opinion of Counsel stating that such contribution will not result in an Adverse REMIC Event as defined in Section 11.01(f).

In particular, the Trustee Master Servicer shall not (a) sell or permit the sale of all or any portion of the Mortgage Loans or of any investment of deposits in an either the Collection Account or the Distribution Account unless such sale is as a result of a repurchase of the Mortgage Loans pursuant to this Agreement or the Trustee and Trust Administrator has received a REMIC an Opinion of Counsel prepared at the expense of the Trust FundFund stating that such contribution will not result in an Adverse REMIC Event (as defined in Section 11.01(f)); and (b) other than with respect to a substitution pursuant to the Mortgage Loan Purchase Agreement or Section 2.03 of this Agreement, as applicable, accept any contribution to any Trust REMIC after the Startup Day (as defined in Section 11.01(b)) without receipt of an Opinion of Counsel stating that such contribution will not result in an Adverse REMIC Event (as defined in Section 11.01(f)).

In particular, the Trustee shall not (a) sell or knowingly permit the sale of all or any portion of the Mortgage Loans or of any investment of deposits in an Account unless such sale is as a result of a repurchase of the Mortgage Loans or is otherwise permitted pursuant to this Agreement or the Servicing Agreement or the Trustee has received a REMIC Opinion prepared at the expense of the Trust Fund; and (b) other than with respect to a substitution pursuant to the Mortgage Loan Purchase Agreement or Section 2.03 or 2.04 of this Agreement or as otherwise provided in this Agreement or the Servicing Agreement, as applicable, accept any contribution to any REMIC after the Startup Day without receipt of an Opinion of Counsel stating that such contribution will not result in an Adverse a REMIC Event as defined in Section 11.01(f)Opinion.

In particular, neither the Master Servicer nor the Trustee shall not shall, in carrying out their respective duties hereunder, (a) sell or permit the sale of all or any portion of the Mortgage Loans or of any investment of deposits in an Account unless such sale is as a result of a repurchase of the Mortgage Loans pursuant to this Agreement or the Trustee has received a REMIC Opinion Opinion, addressed to the Trustee and prepared at the expense of the Trust Fund; and (b) other than with respect to a substitution pursuant to the Mortgage Loan Purchase Agreement or Section 2.03 of this Agreement, as applicable, accept any contribution to any REMIC after the Startup Day without receipt of an a REMIC Opinion of Counsel stating that such contribution will not result in an Adverse REMIC Event as defined in Section 11.01(f)addressed to the Trustee.

For as long as each REMIC shall exist, the Trustee Master Servicer and the Securities Administrator Trustee shall act in accordance herewith to treat assure continuing treatment of such REMIC as a REMIC, and the Trustee and the Securities Administrator shall comply with any directions of the Sponsor, the Servicer Seller or the Master Servicer Depositor to assure such continuing treatment. In particular, neither the Master Servicer nor the Trustee shall not shall, in carrying out its duties hereunder, (a) sell or permit the sale of all or any portion of the Mortgage Loans or of any investment of deposits in an Account unless such sale is as a result of a repurchase of the Mortgage Loans pursuant to this Agreement or the Trustee has received a REMIC Opinion Opinion, addressed to the Trustee and prepared at the expense of the Trust Fund; and (b) other than with respect to a substitution pursuant to the Mortgage Loan Purchase Agreement or Section 2.03 2.04 of this Agreement, as applicable, accept any contribution to any REMIC after the Startup Day without receipt of an a REMIC Opinion of Counsel stating that such contribution will not result in an Adverse REMIC Event as defined in Section 11.01(f)addressed to the Trustee.

REMIC-Related Covenants. For as long as each REMIC shall exist, the Trustee and the Securities Administrator Master Servicer shall act in accordance herewith to treat such REMIC as a REMIC, and the Trustee and the Securities Administrator Master Servicer shall comply with any directions of the Sponsor, the Servicer Trustee or the Master Servicer Trust Administrator to assure such continuing treatment. In particular, the Trustee Master Servicer shall not (a) sell or permit the sale of all or any portion of the Mortgage Loans or of any investment of deposits in an either the Collection Account or the Distribution Account unless such sale is as a result of a repurchase of the Mortgage Loans pursuant to this Agreement or the Trustee and Trust Administrator has received a REMIC an Opinion of Counsel prepared at the expense of the Trust FundFund stating that such contribution will not result in an Adverse REMIC Event (as defined in Section 11.01(f)); and (b) other than with respect to a substitution pursuant to the Mortgage Loan Purchase Agreement or Section 2.03 of this Agreement, as applicable, accept any contribution to any REMIC after the Startup Day (as defined in Section 2.06) without receipt of an Opinion of Counsel stating that such contribution will not result in an Adverse REMIC Event (as defined in Section 11.01(f)).

REMIC-Related Covenants. For as long as each REMIC I or REMIC II shall exist, the Trustee Master Servicer and the Securities Administrator shall Trustee shall, subject to Article IX, act in accordance herewith to treat such REMIC I and REMIC II as a REMIC, and the Trustee and the Securities Administrator shall comply with any directions of the Sponsor, the Servicer or the Master Servicer to assure such continuing treatmentREMICs. In particular, the Trustee shall not (a) sell or permit the sale (to the extent that it has actual knowledge of such sale) of all or any portion of the Mortgage Loans or of any investment of deposits in an Account Permitted Investment unless such sale is as a result of a repurchase of the Mortgage Loans pursuant to this Agreement or the Trustee has received a REMIC Opinion prepared at the expense of the Trust Fund; and (b) other than with respect to a substitution of a Mortgage Loan pursuant to the Section 2.04 or in connection with a repurchase of a Mortgage Loan Purchase Agreement or Section 2.03 of pursuant to this Agreement, as applicable, accept any contribution to any REMIC I or REMIC II after the Startup Day without receipt of an Opinion of Counsel stating that such contribution will not result in an Adverse a REMIC Event as defined in Section 11.01(f)Opinion.

In particular, the Trustee shall not (a) sell or permit the sale of all or any portion of the Mortgage Loans or of any investment of deposits in an Account unless such sale is as a result of a repurchase of the Mortgage Loans pursuant to this Agreement or the Trustee has received a REMIC Opinion prepared at the expense of the Trust Fund; and (b) other than with respect to a substitution pursuant to the Mortgage Loan Purchase Agreement or Section 2.03 of this Agreement, as applicable, accept any contribution to any REMIC after the Startup Day without receipt of an a Opinion of Counsel stating that such contribution will not result in an Adverse REMIC Event as defined in Section 11.01(f).

In particular, the Trustee shall not (a) sell or permit the sale of all or any portion of the Mortgage Loans or of any investment of deposits in an Account unless such sale is as a result of a repurchase of the Mortgage Loans pursuant to this Agreement or the Trustee has received a an Opinion of Counsel stating that such sale will not result in an Adverse REMIC Opinion Event as defined in Section 10.1(f) hereof prepared at the expense of the Trust Fund; Fund and (b) other than with respect to a substitution pursuant to the Mortgage Loan Purchase Agreement Agreement, the Assignment Agreements or Section 2.03 2.3 of this Agreement, as applicable, accept any contribution to any REMIC after the Startup Day without receipt of an Opinion of Counsel stating that such contribution will not result in an Adverse REMIC Event as defined in Section 11.01(f)10.1(f) hereof.

In particular, the Trustee shall not (a) sell or permit the sale of all or any portion of the Mortgage Loans or of any investment of deposits in an Account unless such sale is as a result of a repurchase of the Mortgage Loans pursuant to this Agreement or the Trustee has received a an Opinion of Counsel stating that such sale will not result in an Adverse REMIC Opinion Event as defined in Section 11.1(f) hereof prepared at the expense of the Trust Fund; , and (b) other than with respect to a substitution pursuant to the Mortgage Loan Purchase Agreement Agreement, the Assignment Agreements or Section 2.03 2.3 of this Agreement, as applicable, accept any contribution to any REMIC after the Startup Day without receipt of an Opinion of Counsel stating that such contribution will not result in an Adverse REMIC Event as defined in Section 11.01(f)11.1(f) hereof.
