Reliance on and Survival of Various Provisions. All terms, covenants, agreements, representations and warranties of the Guarantor made herein or in any certificate or other document delivered pursuant hereto shall be deemed to be material and to have been relied upon by the Banks or the Agent, notwithstanding any investigation heretofore or hereafter made by the Banks or the Agent or on their behalf.

Reliance on and Survival of Various Provisions. All terms, covenants, agreements, representations and warranties of the each Guarantor made herein or in any certificate or other document delivered pursuant hereto shall be deemed to be material and to have been relied upon by the Banks or Lenders and the Agent, notwithstanding any investigation heretofore or hereafter made by the Banks any Lender or the Agent or on their its behalf.
