Common use of Reliance, Notification, Indemnity and Survival Clause in Contracts

Reliance, Notification, Indemnity and Survival. 2.1 The Subscriber acknowledges and agrees that the Issuer and its respective counsel will and can rely on the representations, warranties, certifications, acknowledgments and agreements of the Subscriber contained in this subscription and otherwise provided by the Subscriber to and with the Issuer to determine the availability of Exemptions should this subscription be accepted, and otherwise in completing the offering, issue and sale of the Securities to the Subscriber in accordance with applicable laws.

The Subscriber covenants and agrees to provide to the Issuer evidence of the Subscriber’s qualifications for the Exemption immediately upon request by the Issuer.
