Common use of Reliance for Opinions Clause in Contracts

Reliance for Opinions. The Purchaser acknowledges and agrees that the Obligors and, for purposes of the opinions to be delivered to the Purchaser pursuant to Sections 6.1 and 6.2, counsel for the Obligors and counsel for the Purchasers, respectively, may rely, without any independent verification thereof, upon the accuracy of the representations and warranties of the Purchaser, and compliance by the Purchaser with its agreements, contained in Sections 4.1, 4.2 and 4.3, and the Purchaser hereby consents to such reliance.

Reliance for Opinions. The Purchaser acknowledges and agrees that the Obligors Issuer and, for purposes of the opinions to be delivered to the Purchaser pursuant to Sections 6.1 and 6.2, counsel for the Obligors Issuer and counsel for the Purchasers, respectively, may rely, without any independent verification thereof, upon the accuracy of the representations and warranties of the Purchaser, and compliance by the Purchaser with its agreements, contained in Sections 4.1, 4.2 and 4.3, and the Purchaser hereby consents to such reliance.

The Purchaser acknowledges and agrees that the Obligors Issuer and Indevus and, for purposes of the opinions to be delivered to the Purchaser pursuant to Sections 6.1 6.2 and 6.26.4 (to the extent such opinions relate to exemptions from registration and prospectus requirements under Applicable Law), counsel for the Obligors Issuer and Indevus and counsel for the Note Purchasers, respectively, may rely, without any independent verification thereof, upon the accuracy of the representations and warranties of the Purchaser, and compliance by the Purchaser with its agreements, contained in Sections 4.1, 4.2 4.1 and 4.34.2, and the Purchaser hereby consents to such reliance.
