Reliability Run. Contractor guarantees that, in no event later than the occurrence of Final Acceptance of the Facility hereunder, the Facility shall have successfully completed the Reliability Run (the "Reliability Guarantee"). Contractor recognizes and acknowledges that in operating the Facility during the Reliability Run Owner will operate the Facility in accordance with the Power Purchase Agreement.

Reliability Run. As a minimum requirement to demonstrate the reliability of the Facility (, the Company shall carry out a reliability run for a period of one hundred and sixty eight (168) hours during which time the Facility shall operate continuously (without interruption) for seventy-two (72) continuous hours at then demonstrated Dependable Capacity. The output during the remaining ninety six (96) hours of the test will be as requested by BPDB in accordance with the Dispatch provisions outlined in Section 9.2 (excluding Section 9.2(a)(iii)) as if such provisions were applicable during the period prior to the Commercial Operations Date. This test shall have been satisfactorily completed if the reliability run continues without interruption (arising out of factors internal to the Facility) for not less than one hundred and sixty eight (168) hours. In the event that the reliability run is interrupted for reasons external to the Facility, the accumulated testing time prior to such interruption shall be deemed acceptable for testing purposes. The Company shall be required to carry out the reliability run only for such remaining period after such interruption ceases and the reliability runs carried out during the period prior to the interruption and the period after the interruption shall be deemed as one continuous period as if such interruption had not occurred.

Reliability Run. As soon as is practicable after the achievement of Provisional Acceptance and for purposes of determining whether the Turnkey Contractor has satisfied the Reliability Guaranty, the Turnkey Contractor, with the assistance and cooperation of the MEP Participants’ operations personnel, shall operate the Facilities in accordance with the requirements of Section 7.3.1 (the “Reliability Run”) to support the operating demands for the Facilities, while simultaneously operating the Facilities in accordance with the Operating Manuals. Reliability Run. After the Contractor has completed the Handling Trials, the Performance Tests described in paragraph 1.5.9 to demonstrate the Binary Plant's Net Power Output and the Pressure Drop across the Binary Plant, and has notified the Owner, the Binary Plant will be required to successfully complete a reliability test. The twenty-one (21) day Reliability Run will demonstrate the continuous and reliable operation of the Binary Plant at rated load. Reliability Run. A reliability run for the Early Generation Facility or the Plant as the case may be will be carried out as part of the Commissioning tests. The run will be for a period of thirty (30) days and will include seventy-two (72) continuous hours at one hundred percent (100%) base load (i.e. maximum continuous rating at the prevailing ambient temperatures). The output during the remaining hours of the test will be as requested by KPLC in accordance with Clause 8.3. The test shall have been satisfactorily completed only if the Early Generation Facility or the Plant as the case may be experiences no more than five events which prevent the Early Generation Facility or the Plant as the case may be from delivering its Contracted Capacity and no single event shall exceed five (5) hours.   • Service Level Standards In addition to all other requirements in this Agreement, and in accordance with the Best Claims Practices & Estimating Guidelines, Vendor shall use reasonable and good faith efforts to meet the Service Level Standards set forth below.

  • Standards for Determining Commercial Reasonableness Borrower and Silicon agree that a sale or other disposition (collectively, "sale") of any Collateral which complies with the following standards will conclusively be deemed to be commercially reasonable: (i) Notice of the sale is given to Borrower at least seven days prior to the sale, and, in the case of a public sale, notice of the sale is published at least seven days before the sale in a newspaper of general circulation in the county where the sale is to be conducted; (ii) Notice of the sale describes the collateral in general, non-specific terms; (iii) The sale is conducted at a place designated by Silicon, with or without the Collateral being present; (iv) The sale commences at any time between 8:00 a.m. and 6:00 p.m; (v) Payment of the purchase price in cash or by cashier's check or wire transfer is required; (vi) With respect to any sale of any of the Collateral, Silicon may (but is not obligated to) direct any prospective purchaser to ascertain directly from Borrower any and all information concerning the same. Silicon shall be free to employ other methods of noticing and selling the Collateral, in its discretion, if they are commercially reasonable.

  • Service Levels Annex 1 to this Part A of this Call Off Schedule sets out the Service Levels the performance of which the Parties have agreed to measure. The Supplier shall monitor its performance of this Call Off Contract by reference to the relevant performance criteria for achieving the Service Levels shown in Annex 1 to this Part A of this Call Off Schedule (the Service Level Performance Criteria) and shall send the Customer a Performance Monitoring Report detailing the level of service which was achieved in accordance with the provisions of Part B (Performance Monitoring) of this Call Off Schedule. The Supplier shall, at all times, provide the Services in such a manner that the Service Levels Performance Measures are achieved. If the level of performance of the Supplier of any element of the provision by it of the Services during the Call Off Contract Period: is likely to or fails to meet any Service Level Performance Measure or is likely to cause or causes a Critical Service Failure to occur, the Supplier shall immediately notify the Customer in writing and the Customer, in its absolute discretion and without prejudice to any other of its rights howsoever arising including under Clause 12 of this Call Off Contract (Service Levels and Service Credits), may: require the Supplier to immediately take all remedial action that is reasonable to mitigate the impact on the Customer and to rectify or prevent a Service Level Failure or Critical Service Level Failure from taking place or recurring; and if the action taken under paragraph (a) above has not already prevented or remedied the Service Level Failure or Critical Service Level Failure, the Customer shall be entitled to instruct the Supplier to comply with the Rectification Plan Process; or if a Service Level Failure has occurred, deduct from the Call Off Contract Charges the applicable Service Level Credits payable by the Supplier to the Customer in accordance with the calculation formula set out in Annex 1 of this Part A of this Call Off Schedule; or if a Critical Service Level Failure has occurred, exercise its right to Compensation for Critical Service Level Failure in accordance with Clause 13 of this Call Off Contract (Critical Service Level Failure) (including subject, for the avoidance of doubt, the proviso in Clause 13.1.2 of this Call Off Contract in relation to Material Breach). Approval and implementation by the Customer of any Rectification Plan shall not relieve the Supplier of any continuing responsibility to achieve the Service Levels, or remedy any failure to do so, and no estoppels or waiver shall arise from any such Approval and/or implementation by the Customer. SERVICE CREDITS Annex 1 to this Part A of this Call Off Schedule sets out the formula used to calculate a Service Credit payable to the Customer as a result of a Service Level Failure in a given service period which, for the purpose of this Call Off Schedule, shall be a recurrent period of [one Month] during the Call Off Contract Period (the Service Period).
