Common use of Releases by the States Clause in Contracts

Releases by the States. Subject solely to the exceptions set forth in Paragraph 14 of this Agreement (“Excluded Claims”), the conditions set forth in this paragraph, and any particular conditions or exceptions set forth in the subparagraphs below defining each State’s release, each of the States fully and finally releases the Released Entities in accordance with the terms set forth in the subparagraph below defining that State’s release. Each State’s release of claims below is expressly conditioned on Moody’s full and timely payment of the Settlement Amount, including without limitation payment to each of the States as specified in Paragraph 8 of this Agreement, and in the case of the States of Connecticut, Mississippi, and South Carolina, on the entry of stipulations of dismissal or stipulated judgments as provided in Paragraph 10 of this Agreement and by the rules of practice in each of the States to bring formal legal proceedings to a close.
