Release and Affirmation Sample Clauses

Release and Affirmation. Parent Borrower on and as of the Fifth Amendment Effective Date (1) has no (and it permanently and irrevocably waives and releases Administrative Agent and Lenders from any, to the extent arising on or prior to the Fifth Amendment Effective Date) defense, set off, claim or counterclaim against Administrative Agent or any Lender in regard to its obligations in respect of the Tranche A Term Loans being converted to Tranche C Term Loans on such date, the Tranche B Loans and the Revolving Loans and (2) reaffirms its obligations to pay such Tranche A Term Loans (considered in their converted form to Tranche C Term Loans, by virtue of payment of the Tranche C Term Loans into which such Loans are being converted), the Tranche B Loans and the Revolving Loans and any amounts owed with respect thereto (whether or not presently due and payable) in accordance with the terms and conditions of the Credit Agreement and the other Loan Documents.
