Common use of REIMBURSEMENT OF ADS'S EXPENSES Clause in Contracts

REIMBURSEMENT OF ADS'S EXPENSES. If this Agreement is terminated with respect to a Fund or Funds, ADS shall be entitled to collect from the Fund or Funds, in addition to the compensation described under Sections 4 and 11(d) hereof, the amount of all of ADS's reasonable cash disbursements for services in connection with ADS's activities in effecting such termination, including without limitation, the delivery to the Corporation and/or its designees of the Corporation's property, records, instruments and documents, or any copies thereof. Subsequent to such termination, for a reasonable fee, ADS will provide the Corporation with reasonable access to all Corporation documents or records, if any, remaining in its possession. Should the Fund exercise its right to terminate, all out-of-pocket expenses associated with the movement of records and material will be borne by the Fund. Additionally, ADS reserves the right to charge for any other reasonable costs and expenses associated with such termination.

Should the Fund exercise its right to terminate, all out-of-pocket expenses associated with the movement of records and material will be borne by the Fund.
