Common use of Regulatory and Other Authorizations; Consents Clause in Contracts

Regulatory and Other Authorizations; Consents. (a) Each of the parties hereto shall obtain (and Seller shall cause each of USP and Renown to obtain) all authorizations, consents, orders, and approvals of all Governmental Authorities and officials that may be or become necessary for such party’s execution and delivery of, and the performance of their respective obligations pursuant to, this Agreement and each Ancillary Agreement, and will cooperate fully with each other in promptly seeking to obtain all such authorizations, consents, orders and approvals.

(a) Each of the parties hereto party shall use commercially reasonable efforts to obtain (and Seller shall cause each of USP and Renown to obtain) all authorizations, consents, orders, orders and approvals of all Governmental Authorities and officials or other applicable legal requirements, including any required consultation with workers councils or workers’ representatives, that may be or become necessary necessary, proper, or advisable for such party’s its execution and delivery of, and the performance of their respective its and its Subsidiaries’ obligations pursuant to, this Agreement and each the Ancillary Agreement, Agreements and will cooperate fully with each the other party in promptly seeking to obtain all such authorizations, consents, orders and approvals.
