REGISTRATION STATEMENT QUESTIONNAIRE. The attached questionnaire requests information to be used to prepare a Registration Statement on Form S-3 (the “Registration Statement”) to be filed with the Securities and Exchange Commission in connection with a proposed public offering of common stock of Akorn, Inc. (the “Company”). The questionnaire is being distributed to each person who holds or has rights to securities being registered pursuant to the Registration Statement. The italicized terms in the questionnaire are defined in the Appendix to the questionnaire. These definitions are important in assisting you to complete the questionnaire properly. Due to the compressed timeline required to file the Registration Statement, to be named as a selling securityholder in the prospectus, beneficial owners shall complete and deliver the questionnaire by no later than the closing date of the transaction contemplated by the Securities Purchase Agreement to which the questionnaire is attached. Failure to complete the questionnaire and deliver it to the Company by such date may delay such owner from being named as selling securityholder in the prospectus and such owner may not be permitted to sell any registrable securities pursuant to the Registration Statement until they are named as selling securityholder. The information you supply in response to the questionnaire will be used to assure that certain data to be included in the Registration Statement will be correct.
