Registration Required. As promptly as practicable but in no event later than thirty (30) days after the Company obtains a shareholder base of 35 shareholders, the Company agrees to file a Registration Statement to register the resale of all of the Units. The Company shall have made its best efforts to cause the SEC to declare the Registration Statement effective no later than the one hundred-eightieth (180th) day following the date the Registration Statement is filed with the SEC (the "Registration Deadline").
