Common use of Register Clause in Contracts

Register. The Administrative Agent, acting solely for this purpose as a non-fiduciary agent of the Borrower (and such agency being solely for Tax purposes), shall maintain at the Administrative Agent’s Office a copy of each Assignment and Assumption delivered to it (or the equivalent thereof in electronic form) and a register for the recordation of the names and addresses of the Lenders, and the Commitments of, and principal amounts (and interest amounts) of the Loans and L/C Obligations owing to, each Lender pursuant to the terms hereof from time to time (the “Register”). The entries in the Register shall be conclusive, absent manifest error, and the Borrower, the Administrative Agent and the Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by the Borrower and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

Register. In addition, the Administrative Agent shall give prompt written notice to the Company of its receipt and recording of any Assignment and Assumption. The entries in the Register shall be conclusive, conclusive absent manifest error, and the BorrowerLoan Parties, the Administrative Agent and the Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by the Borrower Company and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

Register. The Administrative AgentAgent shall, acting solely for this purpose as a non-fiduciary an agent of the Borrower (and such agency being solely for Tax purposes)Borrower, shall maintain at its address referred to on Schedule III of this Agreement (or such other address of the Administrative Agent’s Office Agent notified by the Administrative Agent to the other parties hereto) a copy of each Assignment and Assumption Acceptance Agreement delivered to and accepted by it (or the equivalent thereof in electronic form) and a register for the recordation of the names and addresses of the Lenders, the Commitment of each Lender and the Commitments of, and principal amounts aggregate outstanding Capital (and interest amountsstated interest) of the Loans and L/C Obligations owing to, of each Lender pursuant to the terms hereof from time to time (the “Register”). The entries in the Register shall be conclusiveconclusive and binding for all purposes, absent manifest error, and the Borrower, the Servicer, the Administrative Agent Agent, the Lenders, and the Lenders shall other Credit Parties may treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder under this Agreement for all purposes of this Agreement. The Register shall be available for inspection by the Borrower Borrower, the Servicer, the LC Bank and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The entries in the Register shall be conclusive, conclusive absent manifest error, and the Borrower, the Administrative Agent and the Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement, notwithstanding notice to the contrary. The Register shall be available for inspection by the Borrower and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The Administrative Agent, acting solely for this purpose as a non-non- fiduciary agent of the Borrower (and such agency being solely for Tax purposes), shall maintain at the Administrative Agent’s Office a copy of each Assignment and Assumption delivered to it (or the equivalent thereof in electronic form) and a register for the recordation of the names and addresses of the Lenders, and the Commitments of, and principal amounts (and interest amounts) of the Loans and L/C Obligations owing to, each Lender pursuant to the terms hereof from time to time (the “Register”). The entries in the Register shall be conclusive, absent manifest error, and the Borrower, the Administrative Agent and the Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by the Borrower and any Lender (with respect to such LenderXxxxxx’s interest only), at any reasonable time and from time to time upon reasonable prior notice.. The Register shall be available for inspection by the Borrower and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The Register shall be available for inspection by the Borrower and any Lender (with respect but only to the extent of entries in the Register that are applicable to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The Administrative Agent shall record in the Register the initial principal amount of the Loans, stated interest thereon, and each repayment or prepayment in respect of the principal amount thereof, and any assignment thereof, and any such recordation shall be conclusiveconclusive and binding on the Borrower and each Lender, absent manifest error, and the . The entries in the Register shall be conclusive, absent manifest error, and the Borrower, the Administrative Agent and the Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by the Borrower and any Lender (with respect to such LenderXxxxxx’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The entries in the Register shall be conclusive, conclusive absent manifest error, and the Borrower, the Administrative Agent and the Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by the Borrower and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice; provided that any Lender shall only be entitled to review the portion of the Register applicable to the Loans owing to such Lender.

The Administrative Agent, acting solely for this purpose as a non-fiduciary an agent of the Borrower (and such agency being solely for Tax purposestax purposes and not subject to any fiduciary or other implied duties), shall maintain at the Administrative Agent’s Office a copy of each Assignment and Assumption delivered to it (or the equivalent thereof in electronic form) and a register for the recordation of the names and addresses of the Lenders, and the Commitments of, and principal amounts (and interest amountsstated interest) of the Loans and L/C Obligations owing to, each Lender pursuant to the terms hereof from time to time (the “Register”). The entries in the Register shall be conclusive, conclusive absent manifest error, and the Borrower, the Administrative Agent and the Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement. The entries in the Register shall be conclusive, absent manifest error, and the Borrower, the Administrative Agent and the Lenders shall may treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement, notwithstanding notice to the contrary. The Register shall be available for inspection by the Borrower and any Lender (with respect but only to the extent of entries in the Register that are applicable to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The Register shall be available for inspection by the Borrower any Loan Party and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The Register shall be available for inspection by the Borrower Borrowers and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

No assignment shall be effective for purposes of this Agreement unless it has been recorded in the Register as provided in this subsection.

The entries in the Register shall be conclusive, conclusive absent manifest error, and Holdings, the Borrower, the Administrative Agent Agent, the L/C Issuer and the Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by Holdings, the Borrower and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The entries in the Register shall be conclusive, absent manifest error, and the BorrowerCompany, the Administrative Agent and the Lenders shall may treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement, notwithstanding notice to the contrary. In addition, the Administrative Agent shall maintain on the Register information regarding the designation, and revocation of designation, of any Lender as a Defaulting Lender. The Register shall be available for inspection by each of the Borrower Company and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The Upon the written request of the Borrower, the Administrative Agent shall provide copies of the Register to the Borrower, and the Register shall be available for inspection by the Borrower and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The Register shall be available for inspection by the Borrower Borrowers and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The Register shall be available for inspection by the Borrower Borrower, any L/C Issuer and any Lender (with respect but only to the extent of entries in the Register that are applicable to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

No assignment shall be effective for purposes of this Agreement unless it has been recorded in the Register.

The Register shall be available for inspection by the Borrower and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The Administrative Agent, acting solely for this purpose as a non-fiduciary an agent of the Borrower (and such agency being solely for Tax tax purposes), shall maintain at the Administrative Agent’s 's Office a copy of each Assignment and Assumption delivered to it (or the equivalent thereof in electronic form) and a register for the recordation of the names and addresses of the Lenders, and the Commitments of, and principal amounts (and interest amountsstated interest) of the Loans and L/C Obligations owing to, each Lender pursuant to the terms hereof from time to time (the “"Register”"). The Notwithstanding anything in the Loan Documents to the contrary, the entries in the Register shall be conclusive, conclusive absent manifest error, and the Borrower, the Administrative Agent and the Lenders shall treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by the Borrower and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

Register. The Register shall be available for inspection by the Borrower and any Lender (with respect to such Lender’s interest only), at any reasonable time and from time to time upon reasonable prior notice.

The entries in the Register shall be conclusive, conclusive (absent manifest error), and the Borrower, the Administrative Agent Agent, the Issuing Banks and the Lenders shall treat each Person person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement, notwithstanding notice to the contrary. The Register shall be available for inspection by the Borrower Borrower, any Issuing Bank and any Lender (with respect to (i) any entry relating to such Lender’s interest only), at Loans or (ii) the identity of the other Lender’s (but not any reasonable time information with respect to such other Lenders’ Loans) during normal business hours and from time to time upon reasonable prior noticenotice to the Administrative Agent.

Register. The Register shall be available for inspection by the Borrower and Borrowers, any Lender (with respect to such Lender’s interest only), and the L/C Issuer at any reasonable time and from time to time upon reasonable prior notice.
