Refundable Portion. For the purpose of determining the amount of the refund, if any, that you may be entitled to receive in the event that PSIGEN terminates this Agreement and your license pursuant to clause (D) of Section 12(b) above, the term "Refundable Portion" means the following amount(s) of the license fee and support contract fee (if applicable) received by PSIGEN (whether paid to PSIGEN by you, an Authorized Reseller or any other party) for your license and for an applicable support contract covering your license: (i) if your license is a term license, the portion of such license fee that is allocable on a pro rated basis to (i.e., that would have paid for) any unused portion of the original License Term (or any unused portion of any Extension Period, as applicable) remaining at the time this Agreement and your license are so terminated; and (ii) if your license is a perpetual license: (A) the amount of such license fee, if any, that PSIGEN received (i.e., was paid) during the twelve (12) month period immediately preceding the date that this Agreement and your license are so terminated, plus (B) if your license is covered by a fully paid support contract, the portion of the support contract fee paid for such support contract that is allocable on a pro rated basis to (i.e., that would have paid for) any unused portion of the term of such support contract

  • Non-Refundable In the event that the fare purchased by the Passenger does not allow refunds, the ticket may be turned into a credit to be used as a payment method for future purchases for up to one year from the ticket’s original date of issuance.   • Total Payment City shall pay for the services to be rendered by Consultant pursuant to this Agreement. City shall not pay any additional sum for any expense or cost whatsoever incurred by Consultant in rendering services pursuant to this Agreement. City shall make no payment for any extra, further, or additional service pursuant to this Agreement. In no event shall Consultant submit any invoice for an amount in excess of the maximum amount of compensation provided above either for a task or for the entire Agreement, unless the Agreement is modified prior to the submission of such an invoice by a properly executed change order or amendment. In the event that Consultant identifies additional work outside the scope of services specified in Exhibit A that may be required to complete the work required under this Agreement, Consultant shall immediately notify the City and shall provide a written not-to-exceed price for performing this additional work.

  • Commitment Fee The Borrower agrees to pay to the Administrative Agent for the account of each Revolving Credit Lender under each Facility in accordance with its Pro Rata Share, a commitment fee equal to the Applicable Rate with respect to commitment fees times the actual daily amount by which the aggregate Revolving Credit Commitment exceeds the sum of (A) the Outstanding Amount of Revolving Credit Loans (which shall exclude, for the avoidance of doubt, any Swing Line Loans) and (B) the Outstanding Amount of L/C Obligations; provided that (x) any commitment fee accrued with respect to any of the Commitments of a Defaulting Lender during the period prior to the time such Lender became a Defaulting Lender and unpaid at such time shall not be payable by the Borrower so long as such Lender shall be a Defaulting Lender except to the extent that such commitment fee shall otherwise have been due and payable by the Borrower prior to such time and (y) no commitment fee shall accrue on any of the Commitments of a Defaulting Lender so long as such Lender shall be a Defaulting Lender. The commitment fee on each Revolving Credit Facility shall accrue at all times from the Closing Date until the Maturity Date for the Revolving Credit Facility, including at any time during which one or more of the conditions in Article IV is not met, and shall be due and payable quarterly in arrears on the last Business Day of each March, June, September and December, commencing with the first such date during the first full fiscal quarter to occur after the Closing Date, and on the Maturity Date for the Revolving Credit Facility. The commitment fee shall be calculated quarterly in arrears, and if there is any change in the Applicable Rate during any quarter, the actual daily amount shall be computed and multiplied by the Applicable Rate separately for each period during such quarter that such Applicable Rate was in effect.

  • TERMINATION FOR IMPROPER CONSIDERATION 8.44.1 The County may, by written notice to the Contractor, immediately terminate the right of the Contractor to proceed under this Contract if it is found that consideration, in any form, was offered or given by the Contractor, either directly or through an intermediary, to any County officer, employee, or agent with the intent of securing this Contract or securing favorable treatment with respect to the award, amendment, or extension of this Contract or the making of any determinations with respect to the Contractor’s performance pursuant to this Contract. In the event of such termination, the County shall be entitled to pursue the same remedies against the Contractor as it could pursue in the event of default by the Contractor.
