Common use of REFUND EVENTS Clause in Contracts

REFUND EVENTS. All amounts of the Deposits which become non-refundable to Purchaser pursuant to the terms of this Agreement are referred to herein as the “Hard Funds”. Notwithstanding anything contained in this Agreement to the contrary, the full amount of the Deposits (including the Hard Funds) shall be refunded to Purchaser in the event that Purchaser elects to terminate this Agreement (a) pursuant to the terms of Section 3.1; (b) pursuant to the terms of Section 6.1; (c) due to a failure of any of the conditions precedent to Purchaser’s obligation to close provided under Section 8.2; (d) pursuant to the terms of Section 12.1; (e) due to a Seller Closing Default pursuant to the terms Section 14.1; or (f) any other event occurs for which the Hard Funds are refundable to Purchaser pursuant to any other express provision of this Agreement.
