Reductions in Minimum Batch Commitments. Onyx shall have the right during the term of the Agreement, as it may be extended pursuant to Section 11.1, upon at least six (6) months written notice and upon payment of a fee of [*] of the per-Batch charge as calculated pursuant to Section 6.6, to reduce the minimum Batch commitment under Section 5.2(a) by up to [*] Batches, and to reduce the minimum Batch commitment under Sections 5.2(b) by up to [*] Batches per year; provided, however, that Onyx may not cancel any firm order except pursuant to Section 5.3(c).
