Recoupment Authorization Clause Samples
A Recoupment Authorization clause allows one party to recover or offset amounts owed to them by deducting such sums from payments otherwise due to the other party. In practice, this means if a party is owed money—such as for overpayments, damages, or other obligations—they can withhold or subtract these amounts from future payments instead of waiting for a separate reimbursement. This clause streamlines the process of settling debts between parties, reducing administrative burdens and ensuring that outstanding obligations are promptly addressed.
Recoupment Authorization. For purposes of the foregoing, the Employee expressly and explicitly authorizes the Company to issue instructions, on the Employee's behalf, to any brokerage firm and/or third party administrator engaged by the Company to hold any Shares and other amounts acquired pursuant to this RSU to re-convey, transfer or otherwise return such Shares and/or other amounts to the Company upon the Company’s enforcement of the Policy. For purposes of the foregoing, the Participant expressly and explicitly authorizes the Company to issue instructions, on the Participant’s behalf, to any brokerage firm and/or third party administrator engaged by the Company to hold any Shares and other amounts acquired pursuant to these Performance RSUs to re-convey, transfer or otherwise return such Shares and/or other amounts to the Company upon the Company’s enforcement of Sections 6.1 or 6.2 hereof.

To the extent that this Award Agreement and the Recoupment Policy conflict, the terms of the Recoupment Policy shall prevail. 20.3

To the extent required under the Recoupment Policy, notice will be provided to Participant prior to the satisfaction of any recoupment obligation arising under the Recoupment Policy or otherwise. To the extent that this Award Agreement and the Recoupment Policy conflict, the terms of the Recoupment Policy shall prevail.
