Common use of Records of Administrative Agent Clause in Contracts

Records of Administrative Agent. The Administrative Agent, acting as agent of the Borrowers solely for tax purposes and solely with respect to the actions described in this Section 2.14, shall establish and maintain at its address referred to in Section 11.11 (or at such other address as the Administrative Agent may notify the Borrower Representative) (A) a record of ownership (the “Register”) in which the Administrative Agent agrees to register by book entry the interests (including any rights to receive payment hereunder) of the Administrative Agent and each Lender, their Commitments, their Loans, each of their obligations under this Agreement to participate in each Loan, and any assignment of any such interest, obligation or right and (B) accounts in the Register in accordance with its usual practice in which it shall record (1) the names and addresses of the Lenders (and each change thereto pursuant to Section 2.18 (Substitution of Lenders) and Section 11.2 (Assignments and Participations; Binding Effect)), (2) the Commitments of each Lender, (3) the amount of each Loan and each funding of any participation described in clause (a) above, (4) the amount of any principal or interest due and payable or paid and (5) any other payment received by the Administrative Agent from the Borrowers and its application to the Obligations.

Records of Administrative Agent. The Administrative Agent, acting as non-fiduciary agent of the Borrowers Borrower solely for tax Tax purposes and solely with respect to the actions described in this Section 2.142.14(b), shall establish and maintain at its address referred to in Section 11.11 Annex IV (or at such other address as the Administrative Agent may notify the Borrower RepresentativeBorrower) (A) a record of ownership (the “Register”) in which the Administrative Agent agrees to register by book entry the interests (including any rights to receive payment hereunder) of the Administrative Agent Agent, each Lender and each Lender, their Commitments, their LoansL/C Issuer in the International Revolving Credit Outstandings, each of their obligations under this Agreement to participate in each Loan, Letter of Credit and L/C Reimbursement Obligation, and any assignment of any such interest, obligation or right (which shall include any transfer or grant of an option to an SPV pursuant to Section 11.2(f) and (B) accounts in the Register in accordance with its usual practice in which it shall record (1) the names and addresses of the Lenders and the L/C Issuers (and each change thereto pursuant to Section 2.18 (Substitution of Lenders) and Section 11.2 (Assignments and Participations; Binding Effect))11.2, (2) the Commitments of each Lender, (3) the amount of each Loan and each funding of any participation described in clause (aA) above, and the Interest Period applicable thereto, (4) the amount of any principal or interest due and payable or paid, (5) the amount of the L/C Reimbursement Obligations due and payable or paid and (56) any other payment received by the Administrative Agent from the Borrowers Borrower and its application to the International Secured Obligations.

CONFIDENTIAL TREATMENT REQUESTED BY ACCESS INTEGRATED TECHNOLOGIES, INC. OF CERTAIN PORTIONS OF THIS AGREEMENT IN ACCORDANCE WITH RULE 24B-2 UNDER THE SECURITIES EXCHANGE ACT OF 1934.

The Administrative Agent, acting as agent of the Borrowers Borrower solely for tax purposes and solely with respect to the actions described in this Section 2.142.12, shall establish and maintain at its address referred to in Section 11.11 12.1 (or at such other address as the Administrative Agent may notify the Borrower RepresentativeBorrower) (Ai) a record of ownership (the “Register”) in which the Administrative Agent agrees to register by book entry the interests (including any rights to receive payment hereunder) of each Lender in the Administrative Agent Loan and each Lender, their Commitments, their Loans, each of their obligations under this Agreement to participate in each Loanthe Pro Rata Outstandings, and any assignment of any such interest, obligation or right and (Bii) accounts in the Register in accordance with its usual practice in which it shall record (1A) the names and addresses of the Lenders (and each change thereto pursuant to Section 2.18 2.13 (Substitution of Lenders) and Section 11.2 12.3 (Assignments and Participations; Binding Effect)), (2B) the Loan Commitments of each Lender, (3C) the amount of each Loan of the Pro Rata Outstandings and each funding any assignment of any participation described in clause (a) abovea Xxxxxx’s Pro Rata Share of the Loan, (4D) the amount of any principal or interest due and payable or paid paid, and (5E) any other payment received by the Administrative Agent from the Borrowers Borrower and its application to the Obligations.

The Administrative Agent, acting as agent of the Borrowers Borrower solely for tax purposes and solely with respect to the actions described in this Section 2.14, shall establish and maintain at its address referred to in Section 11.11 11.12 (or at such other address as the Administrative Agent may notify the Borrower RepresentativeBorrower) (A) a record of ownership (the “Register”) in which the Administrative Agent agrees to register by book entry the interests (including any rights to receive payment hereunder) of the Administrative Agent and Agent, each Lender, their Commitments, their Lender in the Term Loans, each of their obligations under this Agreement to participate in each Loan, and any assignment of any such interest, obligation or right and (B) accounts in the Register in accordance with its usual practice in which it shall record (1) the names and addresses of the Lenders (and each change thereto pursuant to Section 2.18 (Substitution of Lenders) and Section 11.2 (Assignments and Participations; Binding Effect)), (2) the Commitments of each Lender, (3) the amount of each Loan and each funding of any participation described in clause (aA) above, for Eurodollar Rate Loans, the Interest Period applicable thereto, (4) the amount of any principal or interest due and payable or paid and (5) any other payment received by the Administrative Agent from the Borrowers Borrower and its application to the Obligations.
