Common use of Reciprocal Clause in Contracts

Reciprocal. ayfie represents and warrants to the End User, and the End User represents and warrants to ayfie that: (i) it has the power and authority and the legal right to enter into the Agreement and to perform its obligations under the Agreement; (ii) it has taken all necessary action on its part to authorize the execution and delivery of the Agreement; and, (iii) the execution and delivery of the Agreement and the performance of its obligations hereunder do not conflict with or violate applicable laws or regulations, and do not conflict with or constitute a default under its charter documents. If the End User is an individual, the End User represents and warrants that he or she is at least eighteen (18) years of age and has the legal capacity to enter into the Agreement.
