Reciprocal Indemnification – PHI. Each Party agrees to defend, indemnify and hold harmless the other Party and its officers, trustees, directors, employees, agents, and representatives, against and from: (a) any claims based on actual or alleged misuse or wrongful disclosure of PHI by the indemnifying Party, and (b) any damages, liabilities, judgments, awards, settlements, attorney’s fees, losses, costs, and expenses relating to any such claims.
