Recent Events Acknowledgement. Each Purchaser acknowledges that it is aware of the adverse events recently disclosed by the Company in its Quarterly Report on Form 10-Q for the quarter ended June 30, 2009 as filed with the Commission and is making the purchase under this Agreement in complete knowledge of such events. The Company acknowledges and agrees that each Purchaser does not make or has not made any representations or warranties with respect to the transactions contemplated hereby other than those specifically set forth in this Section 3.2.
