RECENT ADVERSE CHANGES. Since March 31, 1996, the Company has not suffered any damage, destruction or loss which has materially adversely affected its business or assets and, except as previously disclosed in writing to the Lenders, no event or condition of any character has occurred which has materially and adversely affected its assets, liabilities, business, operations, prospects or condition (financial or otherwise), and neither the Company nor any of its officers or directors has any knowledge of any event or condition which may materially adversely affect the assets, liabilities, business, operations, prospects, or condition (financial or otherwise) of the Company.

Since March 3129, 19961998, the Company has not suffered any damage, destruction or loss which has materially adversely affected its business or assets and, except as previously disclosed in writing to the Lenders, no event or condition of any character has occurred which has materially and adversely affected its assets, liabilities, business, operations, prospects or condition (financial or otherwise), and neither the Company nor any of its officers or directors has any knowledge of any event or condition which may materially adversely affect the assets, liabilities, business, operations, prospects, or condition (financial or otherwise) of the Company.
