Common use of Recapitalization Events Clause in Contracts

Recapitalization Events. (a) If on any Price Determination Day, the Applicable Reference Price of Crude Oil (i) decreases to an Ending Level at which the Up-MACRO Underlying Value is less than or equal to zero and (ii) remains at such level for a period of ten (10) consecutive Price Determination Days, a recapitalization event with respect to the Up-MACRO Holding Shares shall be deemed to have occurred (such event, a "Up-MACRO Recapitalization Event").
