A Reasonable Objection clause allows one party to withhold consent or approval if they have a legitimate, rational basis for doing so. In practice, this means that if a party is asked to approve an action, decision, or change under the contract, they cannot refuse arbitrarily or capriciously; their objection must be based on reasonable grounds, such as concerns about compliance, quality, or risk. The core function of this clause is to ensure fairness and prevent one party from unreasonably blocking actions or decisions, thereby promoting cooperation and reducing the potential for disputes.
Reasonable Objection. The Construction Manager shall not contract with a proposed person or entity to whom the Owner has made reasonable objection. The Construction Manager shall not be required to contract with anyone to whom the Construction Manager has made reasonable objection. If the Owner has reasonable objection to a person or entity proposed by the Construction Manager, the Construction Manager shall propose another to whom the Owner has no reasonable objection.
