Common use of Re-Purchase Option Clause in Contracts

Re-Purchase Option. (a) If the Employee ceases to be employed by the Company for any reason other than death or disability or ceases to be employed by the Company in an appropriate executive capacity (as determined by the Company in its sole discretion), prior to January 1, 1999 the Company shall have the right and option (the "Re-purchase Option") to purchase any or all of the Shares from the Employee at the same price as the Employee paid for the Shares. (b) For purposes of this Agreement, employment with the Company shall include employment with a parent or subsidiary of the Company.
