Common use of Ratifications Clause in Contracts

Ratifications. The terms and provisions set forth in this Amendment shall modify and supersede all inconsistent terms and provisions set forth in the Agreement and, except as expressly modified and superseded by this Amendment, the terms and provisions of the Agreement, including, without limitation, all financial covenants contained therein, are ratified and confirmed and shall continue in full force and effect. Lender and Borrower agree that the Agreement as amended hereby shall continue to be legal, valid, binding and enforceable in accordance with its terms.

Ratifications. Lender Borrower and Borrower Bank agree that the Agreement as amended hereby and all other documents executed in connection with the Agreement or this Amendment to which Borrower is a party shall continue to be legal, valid, binding and enforceable in accordance with its their respective terms.

Ratifications. The terms and provisions set forth in this Amendment shall modify and supersede all inconsistent terms and provisions set forth in the Agreement and(and all prior agreements, except letters, proposals, discussions and other documents) regarding the matters addressed in this Amendment. Except as otherwise expressly modified and superseded by this Amendmentherein, the all other terms and provisions conditions of the Agreement, including, without limitation, all financial covenants contained therein, Agreement shall remain in full force and effect and are ratified and confirmed and shall continue in full force and effect. Lender and Borrower agree that the Agreement as amended hereby shall continue to be legal, valid, binding and enforceable in accordance with its termsif set forth herein verbatim.

Ratifications. The terms and provisions set forth in this Amendment AMENDMENT NO. 2 shall modify and supersede all inconsistent terms and provisions set forth in the Agreement andAGREEMENT and AMENDMENT NO. 1. The terms and provisions of the AGREEMENT and AMENDMENT NO.1, except as expressly modified and superseded by this Amendment, the terms and provisions of the Agreement, including, without limitation, all financial covenants contained thereinAMENDMENT NO. 2, are ratified ratified, and confirmed and shall continue in full force and effect. Lender , and Borrower agree that the Agreement as amended hereby shall continue to be legal, valid, binding and enforceable in accordance with its termsobligations of the PARTIES.

Lender and Borrower The parties hereto agree that the Intercreditor Agreement as amended hereby shall continue to be legal, valid, binding and enforceable in accordance with its terms.

Ratifications. The terms and provisions set forth in this Amendment shall modify and supersede all inconsistent terms and provisions set forth in the Agreement and, and except as expressly modified and superseded by this Amendment, the terms and provisions of the Agreement, including, without limitation, all financial covenants contained therein, Agreement are ratified and confirmed and shall continue in full force and effect. Lender The Borrower, the Agent and Borrower each Bank agree that the Agreement as amended hereby shall continue to be the legal, valid, valid and binding and obligation of such Persons enforceable against such Persons in accordance with its terms.

Ratifications. Lender and Borrower agree that the Agreement as amended hereby shall continue to be legal, valid, binding and enforceable in accordance with its terms.

Lender and Borrower The Parties hereby agree that the Agreement Note Purchase Agreement, as amended hereby hereby, shall continue to be legal, valid, binding and enforceable in accordance with its terms.

Ratifications. The terms and provisions set forth in this Amendment shall modify and supersede all inconsistent terms and provisions set forth in the Agreement and, except as expressly modified and superseded by this Amendment, the terms and provisions of the Agreement, including, without limitation, all financial covenants contained therein, are ratified and confirmed and shall continue in full force and effect. Lender Agent, Debtor and Borrower Investors agree that the Agreement as amended hereby shall continue to be legal, valid, binding and enforceable in accordance with its terms.

Lender and Each Borrower agree agrees that the Agreement Agreement, as amended hereby hereby, and the other Loan Documents shall continue to be legal, valid, binding and enforceable in accordance with its their respective terms.

Ratifications. The terms and provisions set forth in this Amendment shall modify and supersede all inconsistent terms and provisions set forth in the Agreement and, and except as expressly modified and superseded by this Amendment, the terms and provisions of the Agreement, including, without limitation, all financial covenants contained therein, Agreement and the other Loan Documents are ratified and confirmed and shall continue in full force and effect. Borrower and Lender and Borrower agree that the Agreement as amended hereby and the other Loan Documents shall continue to be legal, valid, binding and enforceable in accordance with its their respective terms.

Ratifications. Lender Purchaser and Borrower Sellers agree that the Agreement Agreement, as amended hereby hereby, shall continue to be legal, valid, binding and enforceable in accordance with its terms.

Lender and Borrower agree that the Agreement as amended hereby shall continue to be legal, valid, binding and enforceable in accordance with its terms.
