Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and conditions of a certain Amended and Restated Intellectual Property Security Agreement dated as of May 13, 2015 between Borrower and Bank, and acknowledges, confirms and agrees that said Intellectual Property Security Agreement (a) contains an accurate and complete listing of all Intellectual Property Collateral, as defined in said Intellectual Property Security Agreement, and (b) shall remain in full force and effect.

RATIFICATION OF INTELLECTUAL PROPERTY SECURITY AGREEMENT. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and conditions of a certain Amended and Restated Intellectual Property Security Agreement dated as of May 13June 12, 2015 2014 between Borrower and Bank, and acknowledges, confirms and agrees that said Intellectual Property Security Agreement (a) contains an accurate and complete listing of all Intellectual Property Collateral, as defined in said Intellectual Property Security Agreement, and (b) shall remain in full force and effect.

RATIFICATION OF INTELLECTUAL PROPERTY SECURITY AGREEMENT. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and conditions of a certain Amended and Restated each Intellectual Property Security Agreement Agreement, each dated as of May 13June 16, 2015 2008 between each respective Borrower and Bank, and acknowledges, confirms and agrees that said Intellectual Property Security Agreement Agreements (a) contains contain an accurate and complete listing of all respective Intellectual Property Collateral, as defined in said such Intellectual Property Security Agreement, and (b) shall remain in full force and effect.

RATIFICATION OF INTELLECTUAL PROPERTY SECURITY AGREEMENT. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and conditions of a certain Amended and Restated Intellectual Property Security Agreement dated as of May 13February 23, 2015 2018, between Borrower and BankAgent, and acknowledges, confirms and agrees that said Intellectual Property Security Agreement (a) contains an accurate and complete listing of all Intellectual Property Collateral, Collateral (as defined in said Intellectual Property Security Agreement, therein) and (b) shall remain in full force and effect.

RATIFICATION OF INTELLECTUAL PROPERTY SECURITY AGREEMENT. Each Co-Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and conditions of a certain Amended and Restated Intellectual Property Security Agreement dated as of May 13September 5, 2015 2018 between such Co-Borrower and Bank, and acknowledges, confirms and agrees that said Intellectual Property Security Agreement (a) contains an accurate and complete listing of all Intellectual Property Collateral, Collateral (as defined in said Intellectual Property Security Agreement, therein) and (b) shall remain in full force and effect.

RATIFICATION OF INTELLECTUAL PROPERTY SECURITY AGREEMENT. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and conditions of a certain Amended and Restated Intellectual Property Security Agreement dated as of May 13, 2015 the Effective Date between Borrower and Bank, and acknowledges, confirms and agrees that said Intellectual Property Security Agreement (a) contains an accurate and complete listing of all Intellectual Property Collateral, Collateral (as defined in said Intellectual Property Security Agreement, therein) and (b) shall remain in full force and effect.

RATIFICATION OF INTELLECTUAL PROPERTY SECURITY AGREEMENT. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and conditions of a certain Amended and Restated Intellectual Property Security Agreement dated as of May 13April 21, 2015 2023, between Borrower and Bank, and acknowledges, confirms and agrees that said Intellectual Property Security Agreement (a) contains an accurate and complete listing of all Intellectual Property Collateral, Collateral (as defined in said Intellectual Property Security Agreement, therein) and (b) shall remain in full force and effect.

RATIFICATION OF INTELLECTUAL PROPERTY SECURITY AGREEMENT. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and conditions of a certain Amended and Restated Intellectual Property Security Agreement dated as of May 13November 7, 2015 2017 between Borrower and Bank, and acknowledges, confirms and agrees that said Intellectual Property Security Agreement (a) contains an accurate and complete listing of all Intellectual Property Collateral, Collateral (as defined in said Intellectual Property Security Agreement, therein) and (b) shall remain in full force and effect.

RATIFICATION OF INTELLECTUAL PROPERTY SECURITY AGREEMENT. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and conditions of a certain Amended and Restated Intellectual Property Security Agreement dated as of May 13, 2015 between Borrower and Bankthe IP Agreements, and acknowledges, confirms and agrees that said Intellectual Property Security Agreement (a) “Loan Agreement” as defined therein includes this Agreement. The IP Agreements contains an accurate and complete listing of all Intellectual Property Collateral, Collateral as defined in said Intellectual Property Security AgreementIP Agreements, except as updated per Exhibit E attached hereto, and (b) shall remain in full force and effect, and secure the Obligations.

RATIFICATION OF INTELLECTUAL PROPERTY SECURITY AGREEMENT. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and conditions of a certain Amended and Restated Intellectual Property Security Agreement dated as of May 13June 14, 2015 2017 between Borrower and Bank, and acknowledges, confirms and agrees that said Intellectual Property Security Agreement (a) contains an accurate and complete listing of all Intellectual Property Collateral, Collateral (as defined therein), which list shall be amended and restated in said Intellectual Property Security Agreement, its entirety as set forth on Exhibit 1 attached hereto and (b) shall remain in full force and effect.

RATIFICATION OF INTELLECTUAL PROPERTY SECURITY AGREEMENT. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and conditions of a certain Amended and Restated Intellectual Property Security Agreement dated as of May 13August 29, 2015 2019 between Borrower Collateral Agent and BankBorrower, and acknowledges, confirms and agrees that said Intellectual Property Security Agreement (a) contains an accurate and complete listing of all Intellectual Property Collateral, Collateral (as defined in said Intellectual Property Security Agreement, therein) and (b) shall remain in full force and effect.

RATIFICATION OF INTELLECTUAL PROPERTY SECURITY AGREEMENT. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and conditions of a certain Amended and Restated Intellectual Property Security Agreement dated as of May 13October 31, 2015 2009 between Borrower and Bank, and acknowledges, confirms and agrees that said Intellectual Property Security Agreement (a) contains an accurate and complete listing of all Intellectual Property Collateral, as defined in said Intellectual Property Security Agreement, and (b) shall remain in full force and effect.

RATIFICATION OF INTELLECTUAL PROPERTY SECURITY AGREEMENT. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and conditions of a certain Amended and Restated Intellectual Property Security Agreement dated as of May 13November 20, 2015 2014 between Borrower and Bank, and acknowledges, confirms and agrees that said Intellectual Property Security Agreement (a) contains an accurate and complete listing of all Intellectual Property Collateral, as defined in said Intellectual Property Security Agreement, except to the extent amended as set forth on Schedule 1 attached hereto, and (b) shall remain in full force and effect.

RATIFICATION OF INTELLECTUAL PROPERTY SECURITY AGREEMENT. Borrower hereby ratifies, confirms confirms, and reaffirms, all and singular, the terms and conditions of a certain Amended and Restated Intellectual Property the IP Security Agreement dated as of May 13, 2015 between Borrower and Bank, and acknowledges, confirms confirms, and agrees that said Intellectual Property IP Security Agreement (a) contains an accurate and complete listing of all Intellectual Property Collateral, Collateral (as defined in said Intellectual Property Security Agreement, therein) and (b) shall remain in full force and effect.

RATIFICATION OF INTELLECTUAL PROPERTY SECURITY AGREEMENT. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and conditions of a certain Amended and Restated Intellectual Property Security Agreement dated as of May 13December 29, 2015 2000 (the “IP Security Agreement”) between Borrower and Bank, and acknowledges, confirms and agrees that said Intellectual Property except as set forth on the Schedule hereto, the IP Security Agreement (ai) remains in full force and effect, (ii) contains an accurate and complete listing of all Intellectual Property Collateral, Collateral as defined in said Intellectual Property the IP Security Agreement, Agreement and (biii) shall remain in full force and effectsecures the Obligations.

RATIFICATION OF INTELLECTUAL PROPERTY SECURITY AGREEMENT. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and conditions of a certain Amended and Restated Intellectual Property Security Agreement dated as of May 13October 31, 2015 2013 between Borrower and Bank, and acknowledges, confirms and agrees that said Intellectual Property Security Agreement (a) contains an accurate and complete listing of all Intellectual Property Collateral, as defined in said Intellectual Property Security Agreement, subject to such changes as have been previously reported to the Bank through December 31, 2014 and (b) shall remain in full force and effect.

RATIFICATION OF INTELLECTUAL PROPERTY SECURITY AGREEMENT. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and conditions of a certain Amended and Restated Intellectual Property Security Agreement dated as of May 13, 2015 between Borrower and Bankthe IP Agreement, and acknowledges, confirms and agrees that said Intellectual Property Security “Loan Agreement” as defined therein includes this Agreement. The IP Agreement (a) contains an accurate and complete listing of all Intellectual Property Collateral, Collateral as defined in said Intellectual Property Security IP Agreement, and (b) shall remain in full force and effect, and secures the Obligations.

RATIFICATION OF INTELLECTUAL PROPERTY SECURITY AGREEMENT. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and conditions of a certain Amended and Restated Intellectual Property Security Agreement dated as of May 13October 31, 2015 2006, between Borrower and BankBank (the “IP Agreement”), and acknowledges, confirms and agrees that said Intellectual Property Security IP Agreement (a) contains an accurate and complete listing of all Intellectual Property Collateral, Collateral as defined in said Intellectual Property Security IP Agreement, and (b) shall remain in full force and effect. In addition, Borrower hereby acknowledges and agrees that all references in the IP Agreement to “Loan Agreement” shall include this Agreement.

RATIFICATION OF INTELLECTUAL PROPERTY SECURITY AGREEMENT. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and conditions of a certain Amended and Restated Intellectual Property Security Agreement dated as of May 13February 23, 2015 2018, between Borrower and BankAgent, and acknowledges, confirms and agrees that said Intellectual Property Security Agreement (a) contains an accurate and complete listing of all Intellectual Property Collateral, as defined in said Intellectual Property Security Agreement, and (b) shall remain in full force and effect.Security

RATIFICATION OF INTELLECTUAL PROPERTY SECURITY AGREEMENT. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and conditions of a certain Amended and Restated Intellectual Property Security Agreement dated as of May 13December 19, 2015 2002 between Borrower SatCon Technology Corporation and Bank, and acknowledges, confirms and agrees that said Intellectual Property Security Agreement (a) remains in full force and effect and contains an accurate and complete listing of all Intellectual Property Collateral, Collateral (as defined in said Intellectual Property Security Agreement, and (b) shall remain in full force and effectof each Borrower.

RATIFICATION OF INTELLECTUAL PROPERTY SECURITY AGREEMENT. Each Co-Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and conditions of a those certain Amended and Restated Intellectual Property Security Agreement Agreements dated as of May 13, 2015 the Effective Date between each Co-Borrower and Bank, and acknowledges, confirms and agrees that said Intellectual Property Security Agreement (a) except as set forth on Schedule 1 hereto, contains an accurate and complete listing of all Intellectual Property Collateral, Collateral (as defined in said Intellectual Property Security Agreement, therein) and (b) shall remain in full force and effect.
