Ratification and Authorization of Certain Actions. The actions of the officers of LLC, including the preparation of the Merger Agreement, with respect to the formation of LLC and the LLC Merger are hereby ratified and approved and such officers are further authorized to execute and deliver the Merger Agreement simultaneously herewith and upon such execution and delivery to file a corresponding Certificate of Merger in the office of the Secretary of State of the State of Delaware.
