RAMCO PURCHASE CLOSING. The Escrow Agent, upon receiving notice from NYL that the RAMCO Option has been exercised and that NYL has received the RAMCO Purchase Price, shall promptly deliver to RAMCO all of the documents described in SECTIONS 4.02(a) AND 4.02(b)(the "RAMCO Purchase Closing"). The Escrow Agent shall deliver one original of the General Release and the Mutual Release to each of the RAMCO Group Stockholders, RAMCO and NYL.
