Common use of Quotation on Nasdaq Clause in Contracts

Quotation on Nasdaq. Prior to the Effective Time, Parent shall cause to be authorized for quotation on NASDAQ the shares of Parent Common Stock issuable in connection with the Merger subject to official notice of issuance, as promptly as practicable after the date hereof, and in any event prior to Closing. The Surviving Corporation shall use its reasonable best efforts to cause the Company Common Stock to be removed from quotation on NASDAQ and de-registered under the Exchange Act as soon as practicable following the Effective Time.
