Quorum not present. (a) If a quorum is not present within 30 minutes after the time specified for the Board Meeting, the meeting will be adjourned, by notice from the Chairperson or the Company secretary to all Directors, to a date and time 7 days after the original time of the meeting and at the same place as the original meeting. (b) Any Directors in attendance (in person or by alternate) at that adjourned meeting will constitute a quorum. (c) If no Director attends (in person or by alternate) that adjourned meeting, the meeting is regarded as dissolved.
