Quantity Variance. If the monthly quantity shipped by Sanyo of each Wafer and/or Device ordered by Xicor is within +/- 5 percent of the quantity ordered, such quantity shall constitute compliance with Xicor's order. Over shipments may be accepted at Xicor's discretion, in which case the respective quantity of such over shipment may be subtracted from the following months' quantity. Any under shipment may, at Xicor's discretion, be added to the following months Order.

Quantity Variance. Unless otherwise approved by the Buyer, or unless material and/or parts were supplied by the Buyer, the Seller shall provide the exact quantities specified in the order. Overage received without prior approval shall be returned at Seller's expense or accepted by the Buyer as excess material at no charge.
Quantity Variance. With respect to the original quantity required by the Buyer as mentioned in section 3.1, the Buyer may, at its sole and absolute discretion, increase or decrease the amount of such original quantity by an amount which is not greater than 30% of the original quantity by providing 7 days in advanced written (electronic or printable) notice to the Supplier at any time during the contractual period. For the increased/decreased quantity of items/goods, the Supplier shall not claim a higher rate, and shall provide the commodities at the rates initially quoted by the Supplier. Any original quantity, which has been so adjusted, shall become the adjusted quantity. The notice of adjustment shall become effective on the date, which is 14 days after the date of such notice of adjustment. Upon effectiveness of such notice of adjustment, the portion of the adjusted quantity will be delivered by mutual agreement of the parties. If the actual quantity of Items delivered is less than 30% of the original quantity or adjusted quantity, as applicable, within specifically agreed delivery schedule, the event shall be deemed to be a default under this Agreement, provided however, the application of section 9.1 Force Majeure will be considered an exception.

Quantity Variance. Because of the difficulty in manufacturing and/or packing a specific or definite number of pieces or units of a Product, Seller estimates (by weight) the number of pieces in an order for a particular Product. Because of this manner of estimating the number or pieces of any particular Product in a container, such as a box or a bag, Buyer acknowledges and agrees that the Seller may be allowed a 5% over-or-under run leeway on the quantities of a Product called for by any order unless otherwise agreed upon at the time the order is accepted.

  • Quantity If Seller delivers more than the quantity of Goods ordered, Buyer may reject all or any excess Goods. Any such rejected Goods shall be returned to Seller at Seller's risk and expense. If Buyer does not reject the Goods and instead accepts the delivery of Goods at the increased or reduced quantity, the Price for the Goods shall be adjusted on a pro-rata basis.

  • Forecast Customer shall provide Flextronics, on a monthly basis, a rolling [***] forecast indicating Customer’s monthly Product requirements. The first [***] of the forecast will constitute Customer’s written purchase order for all Work to be completed within the first [***] period. Such purchase orders will be issued in accordance with Section 3.2 below.

  • Quantities The estimated quantities provided by the City are not guaranteed. These quantities are listed for informational purposes only. Quantities vary depending on the demands of the City. Any variations from the estimated quantities shall not entitle the bidder to an adjustment in the unit price or any additional compensation.

  • Rolling Forecast (i) On or before the fifteenth (15th) calendar day of each month during the Term (as defined in Section 6.1 herein), Buyer shall provide Seller with an updated eighteen (18) month forecast of the Products to be manufactured and supplied (each a “Forecast”) for the eighteen (18) month period beginning on the first day of the following calendar month. The first two months of each Forecast will restate the balance of the Firm Order period of the prior Forecast, and the first three (3) months of the Forecast shall constitute the new Firm Order period for which Buyer is obligated to purchase and take delivery of the forecasted Product, and the supply required for the last month of such new Firm Order period shall not be more than one (1) full Standard Manufacturing Batch from the quantity specified for such month in the previous Forecast (or Initial Forecast, as the case may be). Except as provided in Section 2.2(a), Purchase Orders setting forth Buyer’s monthly Product requirements will be issued for the last month of each Firm Order period no later than the fifteenth calendar day of the first month of each Firm Order period, and such Purchase Order will be in agreement with the Firm Order period of the Forecast. If a Purchase Order for any month is not submitted by such deadline, Buyer shall be deemed to have submitted a Purchase Order for such month for the amount of Product set forth in Buyer’s Forecast for such month.

  • Rolling Forecasts The Client shall provide Patheon with a written non-binding [ * ] forecast of the volume of each Product that the Client then anticipates will be required to be produced and delivered to the Client during each [ * ] of that [ * ] period.   • Product Specifications The Company agrees that all Products sold to Xxxx hereunder shall conform to the respective specifications set forth on Schedule A or to such other specifications as are from time to time agreed upon by the Parties.

  • Quality Specifications SANMINA-SCI shall comply with the quality specifications set forth in its Quality Manual, incorporated by reference herein, a copy of which is available from SANMINA-SCI upon request.

  • Technical Specifications The Technical Specifications furnished on the CD are intended to establish the standards for quality, performance and technical requirements for all labor, workmanship, material, methods and equipment necessary to complete the Work. When specifications and drawings are provided or referenced by the County, these are to be considered part of the Scope of Work, and to be specifically documented in the Detailed Scope of Work. For convenience, the County supplied specifications, if any, and the Technical Specifications furnished on the CD.
