Quality Provisions. 3.1 Any services offered or sold by Licensee in connection with the Licensed ▇▇▇▇ shall be of no less quality and shall at least meet the same standards as the services offered by Licensor (hereinafter the “Quality Standards”). In order to insure Licensee’s services meet the Quality Standards, Licensee shall, upon Licensor’s reasonable request, provide samples, at no cost to Licensor, of the advertising and marketing materials with which the Licensed ▇▇▇▇ is used to promote the services of Licensee. Further, upon written request, Licensee will permit duly authorized representatives of the Licensor to inspect the premises of Licensee wherein Licensee provides or offers to provide services under the Licensed ▇▇▇▇ to confirm compliance with the Quality Standards.
3.2 Licensee’s use of the Licensed ▇▇▇▇ will comply with the usage guidelines provided by Licensor from time to time, including, without limitation the applicable provisions regarding use of notice symbols with the Licensed ▇▇▇▇.
3.3 In the event that Licensor determines, in its sole discretion, that one or more of Licensee’s uses of the Licensed Marks are inconsistent with the Quality Standards, then Licensor shall notify Licensee identifying the disapproved use of the Licensed ▇▇▇▇. Upon receipt of notice of the disapproved use, Licensee shall destroy the advertising or other promotional materials bearing the disapproved use or correct the identified deficiencies in the services being offered by Licensee. Any failure to destroy advertising or promotional materials associated with a disapproved use or correct a deficiency in an associated service shall constitute a material breach of this agreement.
Quality Provisions. 3.1 Plains agrees that the nature and quality of all of Plains' products and services bearing or offered in connection with the Plains Marks shall conform to the standards set by and under the control of Spinco (hereinafter, the "Quality Standards"). Such Quality Standards shall be reasonable and shall be at least equal in quality to the Plains products and services sold by Plains prior to the Separation.
3.2 To enable Spinco to ensure that use of the Plains Marks conforms to the Design Standards and that Plains' products and services bearing or offered in connection with the Plains Marks conform to the Quality Standards, Plains shall (a) deliver to Spinco, upon Spinco's request and without charge to Spinco, representative samples of products, labels, containers, advertisements, catalogs, letterhead, and the like, bearing or containing the Plains Marks; and (b) upon reasonable notice to Plains by Spinco, permit Spinco to inspect Plains' facilities where products bearing the Plains Marks are made.
3.3 Plains shall comply with all applicable laws and regulations and shall obtain all appropriate governmental or regulatory approvals pertaining to the sale, distribution and/or advertising of Plains products and services offered in connection with the Plains Marks.
3.4 Any Plains products and services intended to be marketed under the Plains Marks that fail to meet the Quality Standards shall, at the expense of Plains, be withdrawn from production and corrected or destroyed.
Quality Provisions. Orchid and Alpharma shall negotiate in good faith the terms of a Quality Agreement which the parties shall strive to finalize no later than 60 days after the Effective Date. Once agreed upon, the Quality Agreement shall be appended to this Agreement as Exhibit D and made part hereof. In the event there is any conflict in the terms and provisions of this Agreement and the Quality Agreement, the provisions of this Agreement shall control.
Quality Provisions. 3.1.1 All products must comply with the national standards, ministerial standards and industrial standards of similar products;
3.1.2 In case the aforesaid standards are absent or both parties agree to accept the templates signed and confirmed by Party A or other written standards confirmed by both parties and affixed hereto as appendixes in addition to the aforesaid standards, including but not limited to price components, material, quality, packaging, technical indicators, process and other special agreements.
Quality Provisions. The Manufacturer and Buyer agree that the quality assurance provisions set forth in the Quality Agreement appended hereto as Exhibit F hereto shall be incorporated herein and form part of this Agreement.

Quality Provisions. 3.1 The Company agrees that the nature and quality of all products sampled, sold, or otherwise disposed of by the Company and covered by the LICENSED
3.2 The Company shall, upon SPX's reasonable request, supply samples of any products sampled, sold, or otherwise disposed of by the Company that include the LICENSED TRADEMARK(s) to SPX. Alternatively, SPX may request the Company to assure that such products conform to the QUALITY STANDARD and, to this end, the Company shall permit reasonable inspection during business hours by an authorized representative of SPX of the Company's facilities to inspect the Company's operations, methods of manufacture, materials used, storage and packing areas, and the like, associated with the manufacture of products that include the LICENSED TRADEMARK(s). Any inspections conducted by SPX to ensure that the QUALITY STANDARD provided herein has been satisfied shall be at the expense of SPX.
3.3 The Company shall deliver to SPX, upon SPX's request and without charge to SPX, representative samples of labels, containers, advertisements, catalogs, letterhead, and the like, containing the name SPX to enable SPX to ensure that such name is used only in a manner set forth on Schedule A.
3.4 SPX shall have the right to impose on the Company, as necessary, other specifications or requirements not provided for under this Article to maintain control over the COMPANY BUSINESS to ensure the requisite QUALITY STANDARD with respect to products manufactured by the Company that include the LICENSED TRADEMARK(s).
