Common use of Qualification and Good Standing Clause in Contracts

Qualification and Good Standing. The Administrative Agent shall have received certificates of the appropriate state agencies with respect to the existence and good standing of each Borrower and each Guarantor in the jurisdiction of its organization.

The Administrative Agent shall have received certificates of the appropriate state agencies with respect to the existence and good standing of each the Parent, the Borrower and each Guarantor in the jurisdiction of its organizationorganization and the qualification as a foreign entity and good standing of the Parent, the Borrower and each Guarantor in each other jurisdiction with respect to which a Mortgage is being delivered by the Parent, the Borrower or such Guarantor, as applicable, pursuant to this Section 4.01.
