QPS and NV South. Within thirty (30) days after the Initial Closing and without cost or expense to a Buyer Party (including the Acquired Companies), Sellers shall deliver to Buyer evidence that Nautical Ventures South Inc., a Florida corporation, or Quality Power and Sail LLC, a Florida limited liability company, have each been duly wound up and dissolved without liability, cost or expense to an Acquired Company.
