The Put Share Price clause defines the price at which a shareholder can require the company or other shareholders to purchase their shares, typically under certain conditions or triggering events. This clause specifies the calculation method for determining the share price, which may be based on a fixed amount, a formula tied to company valuation, or an independent appraisal. Its core function is to provide certainty and fairness in exit scenarios, ensuring that shareholders know the value they will receive if they exercise their put rights, thereby reducing disputes and facilitating smoother transactions.
Put Share Price. The purchase price for the Put Shares (the "Put Share Price") shall equal the lesser of (i) the Market Price for such Put, minus $0.075, or (ii) 91% of the Market Price for such Put, but shall in no event be less than the Company Designated Minimum Put Share Price for such Put, if applicable.
Put Share Price. Put Share Price. The purchase price for the Put Shares (the "Put Share Price") shall equal 82.5% of the Market Price for such Put.
Put Share Price. The purchase price for the Put Shares (the “Put Share Price”) shall equal the lesser of (i) the Market Price for such Put, minus the Fixed Discount Amount (as defined below), or (ii) 95% of the Market Price for such Put, but shall in no event be less than the Company Designated Minimum Put Share Price for such Put, if applicable. Put Share Price. For each Put, there shall be three tranches (each a “Put Tranche”) with a Pricing Period for each Put Tranche; the Tranche #1 Pricing Period, the Tranche #2 Pricing Period and the Tranche #3 Pricing Period, respectively (as each is defined in Section 1 above). The purchase price for the Put Shares (the “Put Share Price”) purchased in each Put Tranche shall equal the lesser of (i) the Market Price for such Put Tranche, minus $0.01, or (ii) 97% of the Market Price for such Put Tranche, but shall in no event be less than the Company Designated Minimum Put Share Price for such Put, if applicable.
