Purposes. The Company has been formed for the purposes of (a) acquiring, selling, investing in, holding, owning, leasing, managing, operating, granting mortgages on and security interests in, and acquiring and making loans secured by, real property and personal property and all rights and interests in any manner appertaining or incidental thereto, and (b) engaging in any lawful business, action or activity in which a limited liability company organized formed pursuant to the Act may engage.

The purposes for which the Company has been is formed for are (i) through one or more Subsidiaries, to acquire, lease, operate, manage, finance (including through the purposes Senior Facilities and any refinancings thereof permitted under this Agreement), renovate, cause to be managed, sell (including in a like kind exchange pursuant to Section 1031 of (a) acquiringthe Code), selling, investing in, holding, owning, leasing, managing, operating, granting mortgages on dispose of and security interests in, and acquiring and making loans secured by, real property and personal property and all rights and interests in any manner appertaining or incidental thereto, otherwise deal with the Property and (bii) engaging to engage in any lawful business, action or activity other activities in which a limited liability company organized formed pursuant to furtherance of the Act may engageforegoing.
