Purchasing Contract Sample Clauses

Purchasing Contract. For a period of one (1) year from and after the Closing, Parent shall use its Best Efforts, and shall cause its Affiliates to use their respective Best Efforts to, provide Holdco and its Affiliates, for their use in connection with the Business, with benefits under the Purchasing Contracts, as the same may be in effect from time to time, in substantially the same manner as presently provided, provided, however, that neither Parent nor its Affiliates shall be required to take any action that could reasonably be expected to (i) adversely affect their rights under any Purchasing Contract or their relationship with the other parties to such contract, (ii) subject Parent or its Affiliates to any liability or require them to make any payments or (iii) otherwise significantly and adversely affect Parent or its Affiliates.
