Purchase Terms; Use. Subject to the terms and conditions of this Agreement, ES&S agrees to sell, and ▇▇▇▇▇▇▇▇ agrees to purchase, the Ballot on Demand Equipment and licenses to the ES&S Software described on Exhibit B. The payment terms are set forth on Exhibit A. Title to the Ballot on Demand Equipment shall pass to Customer when Customer has paid ES&S the total amount set forth on Exhibit A for the Ballot on Demand Equipment.
