Common use of Purchase Permitted by Applicable Laws; Legal Investment Clause in Contracts

Purchase Permitted by Applicable Laws; Legal Investment. The acquisition of and payment for the Initial Preferred Shares to be acquired by the Purchaser hereunder and the consummation of the transactions contemplated hereby (a) shall not be prohibited by any applicable law or governmental regulation, (b) shall not subject the Purchaser to any penalty or, in its reasonable judgment, other onerous condition under or pursuant to any applicable law or governmental regulation and (c) shall be permitted by the laws and regulations of the jurisdictions to which it is subject.

Purchase Permitted by Applicable Laws; Legal Investment. The acquisition of and payment for the Initial Preferred Shares to be acquired by Shares, and the Purchaser hereunder Warrants, the issuance of the Warrants and the consummation of the other transactions contemplated hereby (ai) shall not be prohibited by any applicable law or governmental regulation, (bii) shall not subject the Purchaser Purchasers to any penalty or, in its their reasonable judgment, other onerous condition under or pursuant to any applicable law or governmental regulation and (ciii) shall be permitted by the laws and regulations of the jurisdictions to which it is subject.

The acquisition of and payment for the Initial Second Preferred Shares to be acquired by the such Purchaser hereunder and the consummation of the transactions contemplated hereby with respect to such Purchaser (a) shall not be prohibited by any applicable law or governmental regulation, (b) shall not subject the such Purchaser to any penalty or, in its reasonable judgment, other onerous condition under or pursuant to any applicable law or governmental regulation and (c) shall be permitted by the laws and regulations of the jurisdictions to which it is subject.

The acquisition of and payment for the Initial Preferred Shares to be acquired by Stock and the Purchaser hereunder Warrants and the consummation of the transactions contemplated hereby (a) shall not be prohibited by any applicable law or governmental regulation, (b) shall not subject the Purchaser Purchasers to any penalty or, in its their reasonable judgment, other onerous condition under or pursuant to any applicable law or governmental regulation regulation, and (c) shall be permitted by the laws and regulations of the jurisdictions to which it is each are subject.

The acquisition of and payment for the Initial First Preferred Shares to be acquired by the such Purchaser hereunder and the consummation of the transactions contemplated hereby with respect to such Purchaser (a) shall not be prohibited by any applicable law or governmental regulation, (b) shall not subject the such Purchaser to any penalty or, in its reasonable judgment, other onerous condition under or pursuant to any applicable law or governmental regulation and (c) shall be permitted by the laws and regulations of the jurisdictions to which it is subject.
