Common use of Publicity Clause in Contracts

Publicity. The Parties agree that no press release or other announcement concerning the transactions contemplated hereby shall be issued by any Party without the advance written consent of the other Party, except as such release or announcement may be required by law, in which case the Party making the release or announcement shall show such release or announcement in advance to the other Party.

Publicity. The Parties parties agree that that, no press public release or other announcement concerning the transactions contemplated hereby shall be issued by any Party party without the advance written prior consent of the each other Partyparty (which consent shall not be unreasonably withheld), except as such release or announcement may be required by lawlaw or the rules or regulations of any United States or foreign securities exchange, in which case the Party making party required to make the release or announcement shall show allow each other party reasonable time to comment on such release or announcement in advance to the other Partyof such issuance.

The Parties agree Each Party agrees that no press public release or other announcement concerning the transactions contemplated hereby shall be issued by any either Party or its Affiliates without the advance written prior consent of the other PartyParty (which consent shall not be unreasonably withheld, delayed or conditioned), except as such release or announcement may be required by lawLaw or the rules or regulations of any securities exchange, in which case the Party making required to make the release or announcement shall show shall, to the extent practicable, allow the other Party reasonable time to comment on such release or announcement in advance to the other Partyof such issuance.

The Parties agree that no No Party (or any of their respective Affiliates) shall issue any press release or make any other public announcement concerning with respect to this Agreement or the transactions contemplated hereby shall be issued by any Party without the advance written prior consent of the other PartyParties, except as such release or announcement may be required by law, Law in which case the Party making the proposing to issue such press release or make such public announcement shall show such release or announcement use its reasonable best efforts to consult in advance to good faith with the other PartyParties, and give the other Parties a reasonable opportunity to comment thereon, before making any such public announcement.

The Parties parties agree that no press publicity release or other announcement concerning the transactions contemplated hereby shall be issued by any Party without the advance written consent of the other Partyother, except as such release or announcement may be required by law, including but not limited to the Securities Act of 1933, as amended, or the Securities Exchange Act of 1934, as amended, in which case the Party party making the release or announcement shall show shall, before making any such release or announcement in advance to announcement, afford the other Partyparty a reasonable opportunity to review and comment upon such release or announcement.

The Parties agree that no press No publicity, release or other announcement concerning the transactions contemplated hereby shall be issued by any Party either party without the advance written consent of the such other Partyparty, except as required by applicable Law. In the event that a party is required by applicable Law to make a release or announcement, such party shall provide the other party with a reasonable opportunity to review such release or announcement may be required by law, in which case the Party making the release or announcement shall show before such release or announcement in advance to the other Partyis made.

The Parties agree that no No party hereto shall issue any press release or other announcement concerning make any public statement regarding the transactions contemplated hereby shall be issued by any Party without the advance prior written consent approval of the other Partyparties, and the parties hereto shall issue a mutually acceptable press release as soon as practicable after the date hereof, except as required by law (in which case, the party making such announcement or issuing such press release will provide each other party with a copy of any written statement or announcement may be required by law, in which case the Party that it proposes to make prior to making the release or such announcement shall show such release or announcement in advance to and will consult with the other Partyparties with respect thereto).

The Parties parties agree that no press public release or other announcement concerning the transactions contemplated hereby Transactions shall be issued by any Party party without the advance prior written consent of the other Partyparty (which will not be unreasonably withheld, conditioned or delayed), except as such release or announcement may be required by lawapplicable law or regulations, in which case the Party making party issuing the press release or announcement shall show such release or announcement provide the other party with a copy sufficiently in advance of issuance to permit the other Partyparty to comment on the proposed release.

Publicity. The Parties agree that no No press release or other announcement concerning the transactions contemplated hereby shall be issued by any either Party without the advance written prior consent of the other Party, except as such release or announcement may be required by law, rule or regulation of the NASDAQ Stock Market or any other applicable stock exchange, in which case the Party making party required to make the release or announcement shall show allow the other party reasonable time to comment on such release or announcement in advance to the other Partyof such issuance or filing.

Publicity. The Parties agree that no press No public release or other announcement concerning the transactions contemplated hereby under this Agreement shall be issued by any Party hereto without the advance written consent of the other PartyParty hereto, except as such release or announcement may be required by law, in which case the Party making the release or announcement shall show such release or announcement as soon in advance as is possible to the other PartyParty hereto.

Publicity. The Parties agree that no No press release or other announcement concerning the transactions contemplated hereby shall be issued by any Party without the advance prior written consent of the other Party, except as such release or announcement may be required by law, rule or regulation of one or more stock exchanges or automated quotation systems, including the NYSE or NASDAQ, in which case the Party making required to make the release or announcement shall show allow the other Party reasonable time to comment on such release or announcement in advance to the other Partyof such issuance or filing.

Publicity. The Parties agree that Except as required by Applicable Law or on advice of counsel, no Party shall issue any press release or other announcement concerning make any public statement regarding the transactions contemplated hereby without the prior approval of the other Party. Any press release or the text of any public statement to be made by one party shall be issued by any Party provided to the other in advance of its release, and no such release or statement shall be made public without the advance written consent of the other Party, except as such release or announcement may be required by law, in which case the Party making the release or announcement shall show such release or announcement in advance to the other Partyparty.

Publicity. The Parties agree that no press No public release or other announcement concerning the transactions contemplated hereby Transactions shall be issued by any Party either party without the advance prior written consent of the other Partyparty; provided, except as such that, either party shall be permitted to issue a release or announcement may be which is required by law, in which case the Party making the release or announcement shall show such release or announcement in advance to law after first providing the other Partyparty a reasonable opportunity to review and comment.
